There's usually one: out of warranty, running something the business depends on, and left alone because whoever set it up is long gone. Replacing it's mostly a knowledge problem. So we document what it actually does first, including the things it does that nobody remembers.
Converting a physical server to a virtual machine gets you off dying hardware, makes the backups restorable, and lets the whole thing be tested before anyone commits. We run a dress rehearsal, prove the result works, and only then schedule the real cutover.
Migrations run after hours and over weekends, with a planned maintenance window and a tested rollback. Monday morning should look like Friday afternoon: same shares, same logins, same printers.
Sometimes the honest answer is that you shouldn't replace it. Plenty of small businesses are still running a server out of habit, for file shares and printing that could move to cloud storage for less money and less risk. We'll tell you when that's the better path, even though it's the smaller project for us.
We rehearse the migration, prove the restore works, and cut over after everyone has gone home.
